These Terms of Service constitute a legally binding agreement between you (the customer) and Sakne Labs OÜ governing your use of the T-Index platform. By creating an account, you confirm that you have read, understood, and agree to these terms. If you do not agree, do not use the service.

1. Parties & Scope

Service Provider: Sakne Labs OÜ, registered in Estonia (registry code: 12207657), Kirsi 20, Tartu, Estonia ("Sakne Labs", "we", "us").

Customer: The company or individual registering for and using the T-Index platform ("you", "Customer").

These Terms apply to all use of the T-Index platform, including the web application, mobile application, APIs, and any related documentation. These Terms are a business-to-business (B2B) agreement. If you are registering on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. The Service

T-Index is a service intelligence platform for plasma cutting OEM manufacturers and end users. The platform provides:

The service is provided as software-as-a-service (SaaS). Features and functionality may evolve over time. We will provide reasonable notice of material changes.

3. Accounts & Access

To use T-Index, you must create an account with a valid email address and password. You are responsible for:

You may not share your account credentials with third parties or allow multiple individuals to use a single account (unless expressly permitted under a multi-user plan).

Accounts are associated with the registering company. If you register as an employee and later leave that company, account access may be reassigned at the company's request.

4. Subscriptions & Payments

4.1 Subscription Plan

The Subscription plan is billed at €149 per month (excluding applicable VAT). Billing is recurring and processed on the same date each month via Stripe. The subscription provides access to all platform features for all machines and users associated with your account.

4.2 Single Assessment

The Single Assessment is a one-time payment of €899 (excluding applicable VAT) per machine. It provides a full T-Index assessment, performance gap report, and a remote training session. No ongoing subscription is required.

4.3 VAT

All prices are stated exclusive of VAT. VAT is applied in accordance with EU VAT rules:

4.4 Failed Payments

If a subscription payment fails, access to the platform may be suspended after a grace period of 7 days. We will notify you by email before suspension. Access is restored immediately upon successful payment.

4.5 Price Changes

We reserve the right to change subscription pricing with 30 days' written notice by email. Continued use after the effective date constitutes acceptance. You may cancel before the new pricing takes effect.

5. Cancellation & Refunds

5.1 Subscription Cancellation

You may cancel your subscription at any time through the platform settings or by contacting info@saknelabs.com. Cancellation takes effect at the end of the current billing period. No partial-month refunds are provided.

5.2 Single Assessment Refunds

Single Assessment payments are non-refundable once the assessment session has been scheduled or commenced. If we are unable to deliver the assessment, a full refund will be issued.

5.3 Right of Withdrawal

As this is a B2B service (not a consumer contract), the EU consumer right of withdrawal (14-day cooling-off period) does not apply. If you are a consumer (individual purchasing outside professional capacity), please contact us before purchasing to discuss applicable rights.

6. Data Ownership

Your data belongs to you. All machine records, assessment data, logs, and reports you create within T-Index remain your property. You grant Sakne Labs a limited license to store and process this data solely to provide the service.

Upon cancellation or account deletion, you may request an export of your data in a machine-readable format (JSON/CSV) within 30 days. After the retention period, data is permanently deleted.

We do not use your operational data for commercial purposes, benchmarking products, or disclosure to competitors.

7. Acceptable Use

Violation of these rules may result in immediate account suspension without refund.

OEM Partner Use: Use of the T-Index platform by OEM manufacturers or system integrators as part of a service offered to their own customers constitutes a commercial resale arrangement and requires a separate written OEM Partner Agreement with Sakne Labs OÜ. 8. Intellectual Property

All content, materials, software, and technology on this website and within the T-Index platform are the exclusive intellectual property of Sakne Labs OÜ (Reg. 12207657, Kirsi 20, Tartu, Estonia), protected by copyright law, EU Directive 2001/29/EC on copyright, and other applicable intellectual property legislation.

The following are proprietary to Sakne Labs OÜ and may not be used, copied, or reproduced without prior written permission:

You receive a limited, non-exclusive, non-transferable licence to use the platform solely for your internal business purposes as described in these Terms. All rights not expressly granted are reserved.

9. Limitation of Liability

To the maximum extent permitted by Estonian and EU law:

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party infrastructure (Firebase, Cloudflare, Stripe) or events beyond our reasonable control.

11. Termination

We may suspend or terminate your account immediately if:

Upon termination, your access ceases and your data is retained per the Privacy Policy retention schedule. You may request data export within 30 days of termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Estonia and, where applicable, EU law.

Any disputes arising from these Terms shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of the courts of Tartu, Estonia.

For customers in the EU: You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

For customers domiciled in Germany, Austria, or Switzerland: disputes may alternatively be referred to arbitration under the ICC Rules (International Chamber of Commerce) as an alternative to Estonian court proceedings, provided both parties agree in writing within 30 days of the dispute arising.

13. Changes to These Terms

We may update these Terms to reflect changes in the service, legal requirements, or business operations. For material changes, we will:
